Terms of Service

1. Acceptance of Terms

By accessing or using DealProfit (the "Service"), including our website at dealprofit.com, the application at app.dealprofit.com, and any related services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service.

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

2. Description of Service

DealProfit is a software platform that provides:

• Automated real estate deal sourcing and analysis tools
• Investment profitability scoring (ProfitScore) and deal ranking (ProfitRank™)
• Monte Carlo simulation-based risk assessment
• Market data and intelligence by geographic area
• Price intelligence, including market valuations and offer price suggestions
• Multi-strategy analysis (Long-Term Rental, Section 8, BRRRR, Fix & Flip, Short-Term Rental)
• Investment calculators and financial modeling tools

The Service is available in multiple tiers: a free tier with limited features, and paid subscription plans with expanded capabilities. See our Pricing page for current plan details.

3. Company Information & Jurisdiction

DealProfit operates outside the United States. All services are provided digitally only. DealProfit has no physical presence in the United States and does not participate in real estate transactions within the United States or any other jurisdiction. DealProfit has no authority to bind any party to any agreement or transaction.

4. Account Registration

To access certain features, you must create an account. You may register using your email address and password, or through Google OAuth. When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized access or use of your account
• Accept responsibility for all activities that occur under your account

You must be at least 18 years old to create an account. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

5. Subscriptions & Payments

Paid features are available through subscription plans billed monthly or annually. All payments are processed securely by Stripe, our third-party payment processor. DealProfit does not store your credit card details directly.

• Billing cycle: Subscriptions renew automatically at the end of each billing period (monthly or annually) unless cancelled before the renewal date.
• Price changes: We may change subscription prices with 30 days' advance notice. Price changes take effect at the start of the next billing period.
• Upgrades and downgrades: You can change your plan at any time. Upgrades are effective immediately with prorated charges. Downgrades take effect at the start of the next billing cycle.
• Cancellation: You may cancel your subscription at any time through your account settings. You will retain access to paid features until the end of your current billing period.

6. Free Trial & Billing

All paid plans include a 7-day free trial. When you start a trial, you must provide a valid payment method via Stripe. Your card will not be charged during the trial period. The trial process works as follows:

• Day 1: You start the trial with full access to all features of the selected plan. Your payment method is securely stored by Stripe.
• Day 5: We send you an email reminder that your trial ends in 2 days, along with details of the upcoming charge.
• Day 8: If you have not cancelled, your subscription begins and your payment method is charged for the first billing period (monthly or annual, as selected).

You may cancel your trial at any time before the end of day 7 without being charged. If you cancel during the trial, your account will revert to the Free tier and you will not be billed.

Once a paid subscription begins, payments are non-refundable. You may cancel your subscription at any time through your account settings, and you will retain access to paid features until the end of your current billing period. 7. Disclaimers

7.1 No Financial or Investment Advice

All metrics, projections, scores (including ProfitScore), rankings (including ProfitRank™), price estimates (including Smart Offer and Market Value Assessment), cash flow projections, Monte Carlo simulations, and other analysis provided through the Service are estimates for informational purposes only. They do not constitute financial advice, investment advice, tax advice, or any other professional advice.

Past performance metrics and projections do not guarantee future results. Actual investment outcomes may differ materially from any estimates or projections provided by the Service. You must conduct your own independent due diligence before making any investment decision.

7.2 No Real Estate Brokerage

DealProfit is not a licensed real estate broker, agent, or salesperson in any jurisdiction. The Service does not display properties on behalf of sellers, does not negotiate transactions, and does not participate in real estate closings or settlements. Property listings shown in the Service are sourced from third-party MLS data feeds and public records for informational purposes only.

7.3 No Appraisal Services

Market valuations, price estimates, and comparable analyses provided by the Service are not property appraisals. They should not be used in place of a certified appraisal performed by a licensed appraiser. Estimates may be inaccurate and should be verified independently.

7.4 Data Accuracy

DealProfit aggregates data from multiple third-party sources, including MLS feeds, government databases, and public records. While we strive for accuracy, data may be incomplete, outdated, or contain errors. AI-generated analysis may contain inaccuracies. Users must verify all information independently before relying on it for any purpose.

7.5 Agent Relationship

Real estate agents displayed within the Service are independent third parties. They are not employees, partners, or affiliates of DealProfit. DealProfit does not verify agent licenses, qualifications, or performance and makes no guarantee regarding the quality of service provided by any agent.

7.6 Lending Partners

DealProfit is not a lender, mortgage broker, or financial institution. Loan rates, terms, and offers shown within the Service are provided by third-party lending partners. DealProfit may receive compensation in the form of a flat per-lead fee for connecting users with lending partners. This compensation does not affect the loan terms offered to you. You should compare offers from multiple lenders independently before committing to any loan.

8. Intellectual Property

The Service, including its software, design, text, graphics, algorithms, scoring methodologies, and proprietary analysis models, is owned by DealProfit and protected by applicable intellectual property laws. You may not copy, modify, distribute, reverse engineer, or create derivative works based on the Service without our prior written consent.

You retain ownership of any data you provide to the Service (such as your investment parameters and preferences). By using the Service, you grant DealProfit a limited license to use this data solely for the purpose of providing and improving the Service.

9. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Scrape, crawl, or extract data from the Service by automated means
• Redistribute, resell, or sublicense access to the Service or its data
• Attempt to interfere with, compromise, or disrupt the Service's infrastructure
• Circumvent any access controls, rate limits, or security measures
• Share your account credentials with others or create multiple accounts to circumvent plan limits
• Use the Service to mislead others about property values or investment returns

Violation of these terms may result in immediate suspension or termination of your account without notice or refund.

10. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

To the maximum extent permitted by applicable law, DealProfit, its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or investment losses arising from your use of or inability to use the Service.

In no event shall DealProfit's total aggregate liability exceed the amount you paid to DealProfit in subscription fees during the twelve (12) months preceding the event giving rise to the claim. If you are a free-tier user, our maximum liability shall not exceed fifty US dollars ($50).

11. Indemnification

You agree to indemnify and hold harmless DealProfit and its officers, directors, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Third-Party Services

The Service integrates with or relies on third-party services, including but not limited to Stripe (payments), Google (authentication), and various data providers. Your use of these third-party services is subject to their own terms and privacy policies. DealProfit is not responsible for the availability, accuracy, or practices of third-party services.

13. Equal Housing Opportunity

DealProfit is committed to the principles of the Fair Housing Act. All property data and analysis provided through the Service is available without regard to race, color, religion, sex, handicap, familial status, national origin, or any other protected class. The Service does not apply different criteria or scoring based on the demographics of a property's neighborhood.

14. Data Sources & Attribution

Property data displayed through the Service is sourced from multiple channels, including:

• MLS listings: Active and historical listing data sourced from Multiple Listing Service feeds via authorized data providers (e.g., Bridge Interactive).
• Off-market properties: Properties not currently listed on the MLS, sourced from public records and proprietary data providers. Off-market data may be less complete than MLS data.
• Public records: County assessor data, tax records, deed transfers, and other government databases.
• Government sources: HUD Fair Market Rent data, Census Bureau demographics, and other federal/state datasets.

All data is provided for informational purposes only and may be subject to additional terms from the originating source. Information is deemed reliable but not guaranteed. Data may not be used for purposes other than identifying potential investment opportunities for personal use.

15. Termination

You may terminate your account at any time by contacting us or using the account settings within the Service. We may suspend or terminate your access to the Service at any time, with or without cause, upon notice to you.

Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes, as described in our Privacy Policy.

16. Affiliate Program

DealProfit offers an affiliate program (available at partner.dealprofit.com) that allows participants to earn commissions by referring new subscribers. Participation in the affiliate program is subject to additional terms provided upon enrollment.

• Affiliates must disclose their relationship with DealProfit in accordance with applicable advertising and disclosure laws (e.g., FTC guidelines).
• Affiliates may not use deceptive, misleading, or spammy marketing practices to promote DealProfit.
• Affiliates may not bid on DealProfit brand terms in paid search advertising without prior written approval.
• DealProfit reserves the right to terminate affiliate accounts and withhold commissions for violations of these terms or the affiliate program terms.
• Commission rates and payment terms are defined in the affiliate program agreement and may be modified with 30 days' notice.

17. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If resolution cannot be reached within 30 days, disputes shall be resolved through binding arbitration.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
